1. Definitions
In these Terms and Conditions:
- “Company” means Ocimex Limited.
- “Customer” means any person, firm or company requesting services from the Company.
- “Goods” means the items, vehicles, containers, or effects handled, stored, or transported by the Company on behalf of the Customer.
- “Services” means all freight forwarding, shipping, haulage, storage, packing, and related activities provided by the Company.
- “Contract” means the agreement between the Company and the Customer incorporating these Terms and Conditions.
2. Scope of Services
2.1 The Company provides freight forwarding, shipping container handling, self-storage container rental, vehicle shipping, personal effects shipping, and container haulage services.
2.2 The Company acts as an agent on behalf of the Customer in arranging transportation, shipment, and storage, and may contract with third-party carriers, shipping lines, and warehouses as necessary.
2.3 All quotations are subject to availability of space, prevailing freight rates, and third-party charges at the time of booking.
3. Customer Responsibilities
3.1 The Customer warrants that they are the owner of the Goods or are authorised by the owner to contract for the services.
3.2 The Customer must provide full and accurate information concerning the Goods, including description, weight, quantity, and any special handling requirements.
3.3 The Customer must ensure all Goods are properly packed, secured, and labelled for transport.
3.4 The Customer must comply with all import/export, customs, and shipping regulations.
3.5 The Customer must not present for shipment or storage any:
- Stolen vehicles or goods;
- Hazardous or prohibited materials, including gas cylinders, flammable, corrosive, toxic, or explosive substances;
- Perishable, illegal, or restricted items without prior written consent.
3.6 The Company reserves the right to inspect, refuse, or remove any Goods that are, or appear to be, prohibited or unsafe.
4. Quotations and Charges
4.1 All quotations are based on current tariffs, exchange rates, and third-party costs and are subject to change without notice.
4.2 Unless otherwise stated, quotations do not include customs duties, taxes, demurrage, detention, port storage, or other surcharges.
4.3 Charges are due upon invoice, prior to release or shipment of Goods, unless otherwise agreed in writing.
4.4 Interest at 8% per annum above the Bank of England base rate may be applied to overdue accounts.
5. Insurance
5.1 The Company’s liability is limited as per these Terms.
5.2 The Customer is strongly advised to arrange adequate cargo insurance for their Goods.
5.3 The Company may assist in arranging insurance upon written request but does not act as an insurer.
6. Liability and Limitations
6.1 The Company shall exercise reasonable care and skill in providing services but shall not be liable for any loss, damage, or delay arising from:
- Acts or omissions of the Customer or third parties;
- Incorrect or incomplete documentation or declarations;
- Accidents, theft, weather, strikes, war, or other events beyond the Company’s control.
6.2 The Company’s liability (whether in contract, tort, or otherwise) shall not exceed:
- £100 per shipment or storage container; or
- The value of the freight charges for the specific shipment,
whichever is lower, unless a higher value is declared and insurance arranged.
6.3 The Company shall not be liable for loss of profits, consequential or indirect loss of any kind.
7. Storage and Handling
7.1 The Company may provide self-storage containers or warehouse storage at its Purfleet premises or other locations.
7.2 Storage is provided at the Customer’s risk. The Company does not insure stored Goods unless agreed in writing.
7.3 Customers must not store prohibited, flammable, or hazardous materials within self-storage units or containers.
7.4 Access to stored containers is by prior appointment and subject to Company security procedures.
8. Delivery and Collection
8.1 Delivery and collection dates are estimates only. The Company shall not be liable for delays caused by shipping lines, customs, weather, or third-party handling.
8.2 The Customer must ensure appropriate access for loading and unloading.
8.3 The Company reserves the right to charge for waiting time, redelivery, or additional handling.
9. Customs and Documentation
9.1 The Customer is responsible for ensuring all customs paperwork is accurate and compliant.
9.2 The Company may assist in completing documentation but accepts no responsibility for errors or omissions supplied by the Customer.
9.3 Any fines, duties, or penalties arising from incorrect documentation or misdeclaration shall be borne by the Customer.
10. Lien and Disposal of Goods
10.1 The Company shall have a general lien over any Goods for unpaid charges, storage fees, or expenses.
10.2 If payment is not made within 30 days of demand, the Company may sell or dispose of the Goods at the Customer’s expense after giving reasonable notice.
11. Termination
11.1 Either party may terminate the Contract by written notice if the other party commits a material breach and fails to remedy it within 14 days.
11.2 Upon termination, all outstanding charges become immediately payable.
12. Law and Jurisdiction
12.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
12.2 Any dispute arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Data Protection
13.1 The Company will process Customer data in accordance with the UK GDPR and Data Protection Act 2018.
13.2 Personal data will only be used for the purpose of providing services, invoicing, and compliance with legal obligations.
14. General
14.1 No variation of these Terms shall be binding unless agreed in writing.
14.2 The Company’s failure to enforce any term shall not constitute a waiver.
14.3 If any provision is found invalid, the remaining provisions shall remain in full force and effect.
